End User License Agreement

This End User License Agreement ("Agreement") is a legal contract between you ("You" or "User") and NoreLabs ("NoreLabs", "we", or "us"), the developer of the Dictate macOS application ("Dictate" or "the App"). By installing, copying, or otherwise using Dictate, You agree to be bound by the terms of this Agreement. If You do not agree, do not install or use Dictate.

Dictate is distributed through two channels: (a) directly via the website https://dictate.norelabs.com and the Lemon Squeezy storefront; and (b) through the Apple App Store, operated by Apple Inc. ("Apple"). This Agreement applies to both. Where Dictate is acquired through the Apple App Store, the additional terms in Section 10 (Apple App Store Terms) also apply.

1. License Grant

Subject to Your compliance with this Agreement and payment of the applicable fee (or use during the trial), NoreLabs grants You a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Dictate on Apple-branded devices that You own or control.

2. Restrictions

You may not, except as expressly permitted by applicable law: (a) reverse-engineer, decompile, or disassemble Dictate; (b) modify, adapt, translate, or create derivative works of Dictate; (c) distribute, sublicense, rent, lease, lend, or transfer Dictate to any third party; (d) remove or alter any copyright, trademark, or other proprietary notices; (e) use Dictate for any unlawful purpose.

3. Trial and Purchase

Dictate is free to download and use during a limited trial period. Continued use beyond the trial requires purchase of a Monthly, Yearly, or Lifetime plan. Subscription plans auto-renew at the same price until canceled. You may cancel a subscription at any time inside the App or, for App Store purchases, through Your Apple ID account settings. For direct purchases, payment is processed by Lemon Squeezy as Merchant of Record.

4. Refunds

For direct purchases, NoreLabs offers a 14-day refund window from the date of purchase, no questions asked. Requests may be submitted via the Lemon Squeezy customer portal or by emailing support@norelabs.com. For App Store purchases, refunds are processed by Apple in accordance with the Apple Media Services Terms and Conditions.

5. Updates

NoreLabs may provide updates to Dictate. Such updates may be delivered via the Sparkle update framework (direct distribution) or via the Apple App Store. Major and minor updates during the validity of Your license are included free of charge. NoreLabs reserves the right to discontinue support for older macOS versions.

6. Privacy

Dictate processes Your voice entirely on Your Mac. Audio is not transmitted to any server. Details of NoreLabs's data handling practices are described in the Privacy Policy.

7. No Warranty

DICTATE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NORELABS DOES NOT WARRANT THAT DICTATE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NORELABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. NORELABS'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

This Agreement is effective until terminated. You may terminate it at any time by uninstalling Dictate. NoreLabs may terminate Your license if You materially breach this Agreement. Upon termination, You must cease all use of Dictate and remove all copies from Your devices.

10. Apple App Store Terms

Applies only when Dictate is acquired through the Apple App Store.

(a) Acknowledgement. You and NoreLabs acknowledge that this Agreement is concluded between You and NoreLabs only, and not with Apple. NoreLabs, not Apple, is solely responsible for Dictate and its content. This Agreement may not provide for usage rules for Dictate that conflict with the Apple Media Services Terms and Conditions.

(b) Scope of License. The license granted to You is limited to a non-transferable license to use Dictate on any Apple-branded products that You own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, including Family Sharing.

(c) Maintenance and Support. NoreLabs is solely responsible for providing any maintenance and support services with respect to Dictate. You and NoreLabs acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to Dictate.

(d) Warranty. NoreLabs is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Dictate to conform to any applicable warranty, You may notify Apple, and Apple will refund the purchase price for Dictate to You; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Dictate, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be NoreLabs's sole responsibility.

(e) Product Claims. You and NoreLabs acknowledge that NoreLabs, not Apple, is responsible for addressing any of Your or any third party's claims relating to Dictate or Your possession and/or use of Dictate, including but not limited to: (i) product liability claims; (ii) any claim that Dictate fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

(f) Intellectual Property Rights. You and NoreLabs acknowledge that, in the event of any third-party claim that Dictate or Your possession and use of Dictate infringes that third party's intellectual property rights, NoreLabs, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

(g) Legal Compliance. You represent and warrant that (i) You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) You are not listed on any U.S. Government list of prohibited or restricted parties.

(h) Developer Name and Address. For consumer questions or complaints regarding Dictate, contact: NoreLabs, [NoreLabs registered address], support@norelabs.com.

(i) Third Party Terms of Agreement. You must comply with applicable third-party terms of agreement when using Dictate.

(j) Third Party Beneficiary. You and NoreLabs acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon Your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against You as a third-party beneficiary thereof.

11. Governing Law

This Agreement is governed by the laws of Poland. Any disputes arising out of or in connection with this Agreement shall be resolved by the competent courts of Poland.
